Abstract
Artykuł dotyczy problemu, czy wymóg uchwały wspólników przy nabyciu nieruchomości przez spółkę kapitałową (art. 228 i 393 k.s.h.) dotyczy jedynie nabycia w drodze czynności prawnej, czy także nabycia w inny sposób, w szczególności nabycia pierwotnego. Autorzy charakteryzują zagadnienia powstałe w przypadku nabycia nieruchomości przez spółkę kapitałową w drodze zdarzeń prawnych, działań prawnych (w tym czynności zmierzających do wywołania skutków prawnych), dokładniej analizując nabycie w drodze sądowego postępowania egzekucyjnego, czyli sprzedaż licytacyjną (art. 921 i n. k.p.c). Autorzy formułują wniosek, że w tym ostatnim wypadku, chociaż nie mamy do czynienia z czynnością prawną i art. 17 k.s.h. niezastosowania, to uchwała jest wymagana, a jej brak wywołuje skutki w sferze stosunków zewnętrznych.
*The paper examines the requirement of a shareholders’ resolution (Articles 228 and 393 of the Code of Commercial Partnerships and Companies) when a capital company wishes to acquire real property. The question that the authors attempt to answer is whether the requirement applies merely to an acquisition by virtue of an act-in-law, or other forms of acquisition as well, and to primary acquisition in particular. Issues arising when real property is acquired by way of legal events or acts-in-law (including actions aimed at inducing legal effects) are analysed, with special focus on the acquisition of property in the course of court enforcement proceedings. The authors are of an opinion that in the latter case, despite the absence of an act-in-law and the inadmissibility of Article 17 of the above Code, a resolution is nevertheless required.
